I've noticed the decline of my FC's not online. Probably 2 or 3 online, rather than 10 or 15. The forums are almost like ghost towns. Why so much hype & the quick turn around to abandon? Is it the great online options on MKII w/hardly any lag or just gamers tired & dissapointed on the SSBB online let down? Or just gamers playing other better games on 360 & PS3?

Yeah, the online was a let down, but it's not something really necessary for a game like SSBB.
The offline multiplayer is just enough. The online would be an amazing extra mode, but it being bad don't make Brawl a bad game or a game with low replay value (unlike many others that without online would be a failure).
So don't worry, SSBB is still being played and will be played for years to come (like Melee was). And there's no fighting game like Smash Bros on PS3/360, so let's not start some pointless discussion here.
I love Smash Bros Brawl, that and Mario Kart Wii are my favourite games at the moment. I also think that it will be one of those games that people will come back to again and again, they might go off and play the latest Wii game for a bit but then return to play Smash a bit and so on, so I think it will stand the test of time.
If you're looking for friend codes then you could have a look at the site I made in my signature, the people on my friend roster aren't always on but I message them on there and we get a game.
